BLUEZONE Properties secure suitable properties in the open market as well as BLUEZONE Developments while BLUEZONE Property Management secures rental agreements of a minimum term of three years with the open market at market-related prices.
Two shelf (PTY) LTD companies, a Holding- and a Property Company, are registered, which ensure protection to shareholders from any misconduct by fellow shareholders. The Registered Holding Company and Property Company are registered exclusively for the purchase and ownership of the applicable property.
The property is registered in the Property Company. The Holding company raises capital from investors by issuing 100% of its shares. The Holding Company owns 85% of the Property Company. The Holding Company lends the money to the Property Company to purchase the building at a market-related price. BLUEZONE Investments owns 15% of the Property Company without any loan account registered. Thus, on the sale of the building, the Property Company repays 100% of the loan accounts to investors and 85% of the capital growth after capital gains tax to the investor.
BLUEZONE Investments appoints BLUEZONE Property Management, as management agent, at below market- related management fees, to attend to the management of the building and tenants.
With BLUEZONE Investments sharing in 15% of the profit of the Capital Growth of the property on the sale of the property, the investor has the peace of mind that BLUEZONE Investments carries all the risk in ensuring that the client receives maximum capital growth on each project.
